How to form an LLC in Nevada, step by step
- Search name availability and reserve if needed through SilverFlume.
- Name a Nevada registered agent (commercial or noncommercial) with a physical Nevada address.
- File the Articles of Organization — $75 — together with the Initial List of Managers or Managing Members ($150) and the state Business License application ($200). Day-one state total: $425.
- Get a free EIN; check county and city business licences where you will actually operate.
- Before the last day of each anniversary month, file the Annual List ($150) and renew the Business License ($200) — $350 every year.
Nevada quirks that change the real cost
- Nevada has no state income tax and no franchise tax on LLCs; the Commerce Tax only applies above $4 million of Nevada revenue.
- The $200 Business License is a state charge that catches many filers by surprise — it is part of both the first-year and the annual total.
- Some entities (certain home-based and exempt businesses) can claim a Business License exemption, but the Annual List is never optional.
Registered agent: hire one or be your own?
A commercial agent typically costs $100–$300 a year; acting as your own is free if you meet the address rules. The full cost guide: Registered agent cost guide →
First-year cost, in one view
Year one in Nevada: $75 to file, plus $350 for the required first-year filings (the first Annual List and Business License are the first-year filings above; the $350 renewal starts in year two) = $425. From year two, budget $350 a year, plus a registered agent if you hire one. Operating in Nevada but formed elsewhere? Registration as a foreign LLC costs $75 — see the foreign LLC guide.
